1. Acceptance of terms
These Terms of Service (the “Terms”) form a binding agreement between PropOS SARL(a Moroccan société à responsabilité limitée being incorporated in Casablanca, “PropOS”, “we”, “us”) and the natural or legal person who signs up for or uses the PropOS service (“Customer”, “you”). By creating an account, accessing the web app at propos.app, or installing the mobile app, you accept these Terms.
2. The service
PropOS is a software-as-a-service platform for property management, designed for Moroccan syndics de copropriété and the residents of their buildings. The service includes: financial management (invoices, payments, AGM reports), maintenance ticketing, communications, document storage, AI-assisted document drafting, and a mobile companion application.
We may add, modify, or remove features. Material changes will be announced in the product changelog (propos.app/changelog) at least 14 days in advance for paid plans.
3. Eligibility & accounts
You must be at least 18 years old, legally capable of entering into a contract under Moroccan law, and authorized to act on behalf of any organization for which you sign up.
You are responsible for the security of your password and for all activity on your account. Notify us immediately at security@propos.app if you suspect unauthorized access.
4. Subscription plans & payment
- Plans are listed at propos.app/pricing. Monthly billing renews automatically on the same calendar day each month; annual billing renews on the anniversary date.
- Prices are quoted in Moroccan dirhams (MAD) and exclusive of VAT where applicable. Payment is processed by Stripe Payments Europe Ltd. and, where applicable, CMI for Moroccan card networks.
- You may cancel at any time from settings/billing. Cancellation takes effect at the end of the current billing period. Already-paid amounts are non-refundable except as required by Moroccan consumer protection law.
- If payment fails, we will retry up to 3 times. After 14 days of non-payment, your access may be suspended.
- Accounting records (invoices, transactions, AGM minutes) are retained for 10 years per Article 19 of the Moroccan Code de Commerce regardless of suspension.
5. Customer data & ownership
You own all data you upload to PropOS, including resident records, invoices, documents, photos, and communications. We are a data processor; you are the data controller per Loi 09-08 (Morocco) and Article 4(7) of the GDPR (EU).
On termination, you can export your full data set as JSON/CSV from settings/security. We will permanently delete your data 30 days after termination, except where retention is legally required.
6. Acceptable use
You agree not to:
- Use PropOS to engage in or facilitate illegal activity
- Upload content that infringes third-party intellectual property or privacy rights
- Attempt to reverse-engineer, decompile, or extract source code from the service
- Probe, scan, or test vulnerabilities except through our responsible disclosure program (security@propos.app)
- Use the service to send unsolicited marketing communications to residents
- Interfere with other customers' access or service stability
Violations may result in suspension or termination, with no refund for time lost.
7. AI features
PropOS uses third-party AI providers (currently OpenAI and DeepSeek) to power features like legal document drafting, ticket triage, and financial insights. AI-generated content is provided as a starting point and must be reviewed by a qualified professional before legal or financial action is taken. PropOS does not guarantee accuracy and is not liable for decisions made based on AI output.
We anonymize prompts where possible. Your customer data is not used to train AI models. Per-user rate limits (60 requests per minute, 500 per day on the standard plan) apply.
8. Intellectual property
PropOS, the PropOS name and logo, the codebase, and all related materials are the property of PropOS SARL. We grant you a non-exclusive, non-transferable, revocable license to use the service during your subscription, subject to these Terms.
9. Disclaimers & warranty
The service is provided “as is” without warranty of any kind. We aim for 99.5% uptime measured monthly, excluding scheduled maintenance announced 48 hours in advance. Service credits for downtime above the SLA threshold are available on Enterprise plans (contact sales).
We do not warrant that AI outputs are legally compliant, financially accurate, or suitable for your specific purpose. Always review with a qualified professional.
10. Limitation of liability
To the maximum extent permitted by Moroccan law, PropOS's total liability for any claim arising from or relating to the service is limited to the amount you paid PropOS in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.
11. Indemnification
You agree to indemnify and hold PropOS harmless from claims arising out of your use of the service, your content, your violation of these Terms, or your violation of third-party rights.
12. Termination
Either party may terminate at any time. Customer-initiated termination takes effect at the end of the current billing period. We may terminate immediately for cause (non-payment, material breach, or use of the service for illegal purposes), with notice sent to your account email.
13. Governing law & disputes
These Terms are governed by the laws of the Kingdom of Morocco. Any dispute arising from these Terms or your use of the service will be subject to the exclusive jurisdiction of the commercial courts of Casablanca. Before filing a lawsuit, both parties agree to attempt good-faith resolution by writing to legal@propos.app.
14. Changes to these Terms
We may update these Terms from time to time. Material changes take effect 30 days after announcement on this page. Continued use of the service after the effective date constitutes acceptance.
